Corporate Development Director - Merger & Acquisition (M&A) Experience:
7+ years corporate development experience
Extensive experience working on M&A related transactions, including knowledge of agreements
Solid understanding of acquisition accounting and tax matters
Ability to effectively communicate and present plans, ideas and opportunities
Ability to interact directly with senior management, decision makers and owners of potential targets and with advisors (investment bankers, lawyers, accounting firms, consultants)
Financial/business case modeling – projections and valuation
Strong MS Excel, PowerPoint and Word skills

The Corporate Development Director – Merger & Acquisition (M&A) role is responsible for operating and managing the Corporate Development function that drives all aspects of the acquisition process from market analysis and relationship development, deal management, post-acquisition integration, and ultimate transition to a line of business. This role is responsible for ensuring the Company’s M&A process is diligently followed and is responsible for ensuring appropriate multi-disciplinary participation in the M&A process. This role supports the company’s strategic drivers helping identify and leverage, industry, demographic, and other relevant trends to develop forward-looking business strategies, and by designing and implementing models for assessing strategic/financial fit and risk/reward of those strategies.
The Corporate Development Director – Merger & Acquisition (M&A) role is responsible for evolving the M&A process to respond to emerging business trends as well as training constituents on the M&A process. This role provides critical support to the CFO and serves as the primary liaison for deal flow relationships as well as sustaining an effective working relationship between management.

Direct responsibility for managing the Corporate Development function
Lead internal M&A process, working closing with business leaders through transaction lifecycle
Conduct market analysis to attractive industry sectors, technologies and geographies for expansion and strategic fit for the Company
Research and understand capital market trends. Evaluate market value of various growth strategies
Actively network with deal flow sources to maintain/enhance acquisition and investment idea pipeline
Monitor markets/industries with potential strategic and acquisition interest
Collaborate with Management personnel through a regular meeting rhythm to share knowledge, and remain abreast of market activity and potential opportunities
Identification, evaluation, pursuit, and execution of acquisition and divestiture transactions
Value transaction targets (using multiple approaches), including establishing the intrinsic value of the target, identification and valuation of Company value-add as acquirer, including synergies and dis-synergies
Prepare/review detailed financial models and analytical support for transaction candidates
Develop and participate in presentations to Executive Management and the Board of Directors
Collaborate with the Treasurer in preparing information memoranda, investor presentations, and term sheets for potential financings to support transactions
Drive transaction due diligence process; ensure multi-disciplinary teams thoroughly and timely execute on diligence responsibilities
Drive post-acquisition integration activities and ensure value realization targets are achieved with an effective integration and transition process to lines of business
Supports the development of the company’s “3 - 5 years out” corporate development strategies
Refine M&A process to incorporate best practices/evolving market dynamics
Participate in other special/strategic projects as requested, from time to time

Corporate Development Director - Merger & Acquisition (M&A) Education:
Bachelor’s degree (master’s degree preferred) with emphasis on business, accounting/finance, or economics.
Degree from a nationally recognized Business School.
Corporate Development Director - Merger & Acquisition (M&A) Travel: A minimum of up to 50% domestic/international travel may be required
